The Practice

Business & Transactions

Agreements drafted by a litigator — for the companies, owners, and properties of Tennessee and Kentucky.

Scope of Engagement

Work undertaken.

01

Entity formation & governance

LLCs, PLLCs, and corporations formed properly — with operating agreements written for the day the partners disagree, not just the day they sign.

02

Contracts & commercial agreements

Drafting, review, and negotiation of the agreements a business actually runs on: services, supply, leases, NDAs, and the terms behind the handshake.

03

Employment, non-compete & contractor agreements

Offer letters, non-competes and other restrictive covenants, and contractor terms.

04

Outside general counsel

Ongoing counsel for owners who want a lawyer who already knows the company — before the question becomes a dispute.

Common Questions

Before you call.

Do you work with new businesses or established ones?

Both. Formation work for owners starting something new, and contract, transaction, and counsel work for companies already operating.

How are transactional engagements billed?

Scope and fee are agreed in writing before work begins. Where a matter is well-defined — a formation, a contract set, a lease review — the firm will quote it plainly.

What does “outside general counsel” include?

A standing arrangement: contract review as it arises, governance questions, employment documents, and first-call advice — defined together at the start so the relationship fits the company's size and pace.

Put the paper in order.

Bring the agreement, the plan, or the problem. You will leave knowing what it needs.
